INTRODUCTION
This is a default agreement between the user('USER') and We Do Drivers LLC ('GRANTOR') and for all finished products purchased or obtained from GRANTOR. All products are secured property of GRANTOR and not transferable under this agreement. Only rights of distribution of binaries are specified under this agreement. This contract is negotiable, however, any addendums must be made prior to purchase of software.
DISTRIBUTION
Without payment to We Do Drivers LLC, no rights for distribution will be granted to user until payment is made in full. Distribution rights are specified at time of purchase or upgrade. Distribution can be limited or unlimited depending on the exact nature of the payment schedule as outlined in the product documentation, publicly stated on our web site and on no other site other than www.wedodrivers.com.
SECURITY
Due to the global market of the We Do Drivers LLC products, the binaries and source code of any of our products must be secured. The USER is responsible for damages caused to We Do Drivers LLC should the binaries be improperly distributed. The USER is responsible for making sure that no unauthorized distribution of source code or binaries is made outside of the USER to another party.
TRANSFER OF RIGHTS
All transference of rights from one party to another must be authorized by We Do Drivers LLC. Typically rights may be transferred from one party to another, but after the transfer, the transferring party must destroy all copies of binaries and source held. The fee for transfer of license is $200 U.S. dollars to be made payable to We Do Drivers LLC. The transfer must comply with all U.S. and E.U. regulations and certain countries can be prohibitedfrom obtaining our software.
PAYMENT
Payment must be made before rights have been transferred and only by cash, check, wire, egold, paypal or credit card.
REFUND
Refunds are generally not allowed because all software does have a demo version. A refund is allowed if the USER can show misleading information or errors caused by GRANTOR's binaries and a failure by GRANTOR to repair such defects within one week of USER's filing of a complaint with We Do Drivers LLC. ERRORS
From time to time errors can occur in the binaries that GRANTOR distributes to the USER. It is the responsibility of GRANTOR to fix all genuine errors within 14 days.
INDEMNITY
There is mutual indemnification against harm caused. USER is responsible for keeping the binaries and/or source code secure and not using the product in a way which may be harmful to the reputation of GRANTOR or not to put the GRANTOR as a liable party in any action. Outside of this, both parties can not be held responsible for changes in 3rd party software, market forces or other things outside of their control which may cause harm to USER and/or GRANTOR. The software is what it is and can be examined.
MUTUAL NON-COMPETITION
In addition, the USER is allowed binary distribution rights, as long as no source code or trade secrets of GRANTOR is divulged to any third parties. Any companies in direct competition with GRANTOR are not allowed to purchase any products. And any company in the future is restricted from entering into competition with GRANTOR in the future, by using any of GRANTOR's software or source code. The purpose of the software provided by GRANTOR is to enhance the USER's product or to assist the USER in the creation of a new product, which will not compete with a We Do Drivers LLC product now or in the future.
DISPUTES
Both USER and GRANTOR agree to resolve all conflicts first by way of informal email interrogatories and failing this, exclusively by administrative process in affidavit/interrogatory form by postal service using certified mail with return receipt, or by way of Federal Express under Admiralty jurisdiction. Interrogatories will allow for 30 day responses . Any party deviating from this format will be liable to pay all legal expenses for all parties involved. Any non-response, will be considered a concession of all parties. At least two non-responsesare required for a default. Further terms of this process will be defined during the actual process.
